Coaching Agreement (ICF‑Aligned, Non‑Clinical)

Empowerment is stronger than power.

This Coaching Agreement outlines the understanding between Olive Branch Life Coaching & Counseling Services, LLC™ (“Olive Branch,” the “Coach,” or “Practice”) and the undersigned individual (the “Client”). It reflects a coaching‑only, non‑clinical relationship that is aligned with the International Coaching Federation (ICF) definition and ethics. This is not a counseling, psychotherapy, medical, legal, tax, or financial contract.

  

Client Services Agreement - Clinical

Empowerment is stronger than power.

This Client Services Agreement (“Agreement”) governs services provided by Olive Branch Life Coaching & Counseling Services, LLC™ (“Olive Branch,” “we,” “us,” or the “Practice”) to the undersigned individual (“Client,” “you”). It reflects Olive Branch’s blended practice model, which may include life coaching, non-clinical support, and, where applicable, counseling or psychotherapy services rendered only by a licensed clinician working under a separate clinical scope and documentation standard. This template is for general use and is not legal advice; you are encouraged to have an attorney review it for your specific jurisdiction.

  

Business Coaching Contract — Terms & Conditions

This Business Coaching Contract — Terms & Conditions (the “Agreement”) describes the relationship between Olive Branch Life Coaching & Counseling Services, LLC™ (“Olive Branch,” “Coach,” or the “Practice”) and the undersigned client (“Client,” “Coachee,” or “you”) for business, executive, and leadership coaching services. This is a non-clinical coaching agreement and does not create a counseling, psychotherapy, legal, or medical treatment relationship.

Return and Refund Policy

  

Coaching Agreement (ICF-Aligned, Non-Clinical) Refunds: Unless required by law, fees are generally non‑refundable once services or reserved time have begun. If a package is ended early, any refund will be prorated based on used sessions, less any agreed administrative fees.


Client Services Agreement - Clinical  

Services and access to materials may be paused until payment is current. If a payment plan is repeatedly late or fails, Olive Branch reserves the right to require payment in full before scheduling additional sessions.

Refunds: Unless otherwise required by law, fees are generally non-refundable once services or reserved time have begun. If a package is ended early, any refund will be prorated based on used sessions, minus any agreed administrative or processing fees.


Business Coaching Contract — Terms & Conditions  

Services and/or access to materials may be paused until your account is current. Repeated nonpayment may result in termination of this Agreement.

Refunds: Unless otherwise required by law, coaching fees are non-refundable once services or reserved time have begun. If a prepaid package is ended early, any refund will be prorated based on used sessions and may be reduced by agreed administrative or processing fees.

ICF Notice and Disclaimer

Megan Lamm and Olive Branch Life Coaching & Counseling Services, LLC™ are not an employee, agent, lawyer, doctor, manager, therapist, public relations or business manager, registered dietitian, financial analyst, psychotherapist, or accountant. Client understands that the coach has not promised, shall not be obligated to, and will not:

1) Procure or attempt to procure employment, business, or sales for the client;

2) Perform any business management functions including, but not limited to, accounting, tax, or investment consulting, or advice with regard thereto;

3) Act as a therapist providing psychoanalysis, psychological counseling, or behavioral therapy;

4) Act as a public relations manager;

5) Act as a publicist to procure publicity, interviews, write-ups, features, television, print, or digital media exposure for the client;

6) Introduce the client to the coach’s full network of contacts, media partners, or business partners; or

7) Be required to accept or continue services with a prospective or current client if the coach determines that the client is not an appropriate fit for coaching at this time. The coach may make a referral to another professional or may determine that the client is not yet ready for a coaching journey.

Client understands that a coaching relationship does not exist between the parties after the conclusion of this program. If the parties choose to continue their relationship, a separate agreement will be entered into.


Errors & Omissions Disclaimer

Important: This document is a general template for coaching and advocacy businesses and is not legal advice. You should have a licensed Ohio attorney review and customize it before using it with clients.


1. Purpose of This Disclaimer

This Errors & Omissions Disclaimer (“Disclaimer”) sets out the limits of responsibility and liability for Olive Branch Life Coaching & Counseling Services, LLC™ (the “Coach”) in providing coaching, mentoring, advocacy support, and related services to the undersigned individual (the “Client”).

By signing below, the Client acknowledges that they have read, understood, and agree to the terms of this Disclaimer.

2. No Guarantees or Warranties

2.1 The Coach does not guarantee any specific results, outcomes, or changes as a result of coaching or advocacy services.

2.2 Results depend on many factors, including (but not limited to) the Client’s effort, participation, follow-through, personal circumstances, and external conditions beyond the Coach’s control.

2.3 Any examples of success, testimonials, or case studies shared by the Coach are illustrative only and do not promise or predict similar results for the Client.

3. Nature and Scope of Services (Not Professional Advice)

3.1 Coaching and advocacy services are designed to provide support, encouragement, education, skills-building, and guidance for personal growth, wellness, and self-advocacy.

3.2 Coaching and advocacy services are not and do not replace any of the following:

• Medical care or treatment;

• Mental health counseling, psychotherapy, or psychiatry;

• Legal representation or legal advice;

• Financial, tax, or investment advice.

3.3 The Coach does not diagnose, treat, or cure any medical, psychological, or psychiatric condition, and does not provide legal or financial services.

3.4 The Client agrees to seek and maintain their own licensed medical, mental health, legal, and financial professionals for any needs in those areas and understands that any information shared by the Coach is for educational and supportive purposes only.

4. Client Responsibility and Assumption of Risk

4.1 The Client remains fully responsible for their own decisions, actions, choices, and results, both during and after the coaching relationship.

4.2 The Client understands that any decisions made based on coaching conversations, materials, or resources are made voluntarily and at their own risk.

4.3 The Client agrees that they will not rely on coaching or advocacy services as a substitute for professional advice where such advice is needed.

5. Errors, Omissions, and Misunderstandings

5.1 While the Coach makes reasonable efforts to provide accurate, clear, and useful information, the Coach does not guarantee that all information will be free from errors, omissions, misstatements, or misunderstandings.

5.2 The Client understands that miscommunications may occur in verbal, written, or electronic communications; that educational materials, forms, templates, or resources may contain errors or become outdated over time; and that the Coach cannot ensure how third parties (such as courts, agencies, employers, or other professionals) will interpret or respond to any information or documents.

5.3 The Client agrees to carefully review all information and, when appropriate, to verify it with qualified professionals (such as attorneys, doctors, or financial advisors) before relying on it.

6. Limitation of Liability

6.1 To the fullest extent permitted by law, the Coach’s total liability for any claims, losses, damages, or expenses arising out of or related to the coaching relationship, including any alleged errors or omissions, is strictly limited to the total amount actually paid by the Client to the Coach for services rendered under the current agreement.

6.2 The Coach shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, even if advised of the possibility of such damages.

7. Indemnification and Hold Harmless

7.1 The Client agrees to indemnify, defend, and hold harmless the Coach and Olive Branch Life Coaching & Counseling Services, LLC™, including its owners, agents, contractors, and representatives, from and against any and all claims, demands, losses, damages, costs, or expenses (including reasonable attorney’s fees) arising from or related to the Client’s use or misuse of coaching or advocacy services, materials, or resources; the Client’s actions, choices, or decisions; or any third-party claims arising from the Client’s conduct.

8. Emergency and Crisis Situations

8.1 The Client understands that the Coach does not provide emergency, crisis, or on-call services.

8.2 If the Client is in crisis, feels unsafe, or is experiencing a medical or mental health emergency, the Client agrees to immediately contact:

• 911 or local emergency services;

• Their physician or mental health provider;

• The 988 Suicide & Crisis Lifeline (in the U.S.);

• Other appropriate emergency resources.

9. Governing Law and Severability

9.1 This Disclaimer and any dispute arising from it shall be governed by and interpreted in accordance with the laws of the State of Ohio, without regard to its conflict-of-law principles.

9.2 If any provision of this Disclaimer is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
